Terms of Use

These Terms of Use govern the use of the platform operated by FundSys LLC, 2031 Harrison St, Hollywood, FL 33020, USA ("FundSys", "we"). We point to these terms when you register; by registering for or using the platform, you agree to them.

1. Scope

The platform is intended for entrepreneurs who build US financial and corporate infrastructure for their business or professional activity. It is not intended for consumers within the meaning of consumer protection law. If you nevertheless use the platform as a consumer, the mandatory consumer protection rules of your country of residence apply in your favor.

Terms of users that differ from these terms apply only if we expressly agree to them in writing.

2. Platform Services

FundSys supports you organizationally and technically in building your US infrastructure. This includes in particular:

• Support with forming and maintaining a US entity (e.g. an LLC).
• Preparing and filing applications for tax identification numbers (e.g. EIN, ITIN).
• Support with setting up bank and payment accounts and connecting existing accounts.
• An overview of compliance deadlines, reminders and document storage.
• An AI-powered assistant that answers questions about your setup.

Some areas are marked as a preview. They may work with limitations, without live data, or change.

The exact scope of a paid service is set out in its description when you order it.

3. No Legal, Tax or Investment Advice

FundSys does not provide legal, tax, investment or financial advice. Information on the platform, including answers from the AI-powered assistant, is for general orientation and does not replace advice from licensed professionals. For decisions with legal or tax consequences, you should seek such advice.

Decisions on registrations, identification numbers, account openings, credit or payment services are made solely by the competent authorities and financial institutions. FundSys cannot promise a particular outcome, approval or processing time.

4. Account and Access

You need an account to use the platform. The information you provide at registration and during onboarding must be complete and accurate; please tell us promptly about any changes.

You keep your login details confidential and, where available, protect your account with a second factor. If you suspect that someone else has access to your account, notify us immediately at hello@fundsys.us.

5. Your Obligations

You use the platform only in accordance with applicable law. In particular, you may not:

• provide false or misleading information or upload forged documents or documents of other persons,
• use the platform for money laundering, sanctions evasion, tax evasion or any other unlawful purpose,
• circumvent security measures, run automated bulk requests or interfere with the operation of the platform.

For content you upload, you make sure that you are entitled to share it. You grant us the rights we need to store and process that content and to pass it to the parties involved in order to provide our services.

6. Third-Party Services

For some services we work with third parties, such as authorities, banks and payment providers, registered agents and specialized providers for connecting financial accounts. Their own terms also apply to their services. FundSys is not responsible for the decisions, availability or services of these third parties.

7. Prices and Payment

Using the basic features may be free of charge. Paid services are marked as such; the price is shown to you before you order or agreed separately.

Fees charged by authorities or third parties (e.g. state registration fees) are included only where expressly stated. Fees already paid to third parties cannot be refunded if a service is cancelled after it has started.

8. Availability and Changes to the Platform

We aim for stable operation but do not owe uninterrupted availability. Maintenance, security measures or disruptions at third parties may temporarily limit use.

We keep developing the platform and may change, add or discontinue features where this is reasonable for you. Paid services already ordered remain unaffected.

9. Rights to the Platform

The platform, its software, texts and design are protected by copyright. For the duration of your account you receive a simple, non-transferable right to use the platform for your own purposes. Your data and documents remain yours.

10. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and where mandatory law provides.

In cases of slight negligence we are liable only for breach of essential contractual obligations and limited to the typical, foreseeable damage. In these cases our liability is further limited to the greater of the fees you paid us in the twelve months before the event giving rise to the claim or 100 US dollars.

We are not liable for decisions of authorities, financial institutions or other third parties, or for consequences of incomplete or inaccurate information provided by users.

11. Term and Termination

You may close your account at any time by writing to us at hello@fundsys.us. Paid services already ordered are billed according to the terms agreed when you ordered them.

We may terminate your account with reasonable notice. In case of serious breaches of these terms, in particular if unlawful use is suspected, we may block access immediately or terminate the account without notice.

How we retain and delete your data after termination is described in the Privacy Policy.

12. Privacy

How we process personal data is explained in our Privacy Policy at /privacy.php.

13. Changes to These Terms

We may change these terms, for example for new features or changed legal requirements. We will inform you of material changes in advance by email or on the platform. If you keep using the platform after the changes take effect, the changed terms apply; if you object, you may close your account.

14. Governing Law and Venue

These terms are governed by the laws of the State of Florida, USA. Mandatory provisions of the country in which you have your habitual residence or registered office remain unaffected. To the extent permitted by law, venue is Broward County, Florida.

15. Final Provisions

If any provision of these terms is invalid, the remaining provisions remain in effect. These terms are available in German and English.
